Corporate and Business
Nauman Smith provides advice and representation to business clients on a broad spectrum of issues ranging from general corporate matters to more select issues such as taxation, acquisitions and liquidations, business succession planning, real estate matters, employment issues and privacy-related issues. Our business practice attorneys routinely advise the owners of small and medium-sized businesses on the selection and formation of the appropriate business entity and the capitalization of start-up businesses, and represent them in various business transactions. We provide business owners with advice on asset preservation, tax issues, executive compensation and retirement planning. We have assisted our business clients in obtaining federal trademark registrations and provide advice on varied copyright issues.
Employment and Labor Law
The area of employer-employee relations is involved and ever-evolving with new laws and court interpretations. Nauman Smith advises management how to adopt policies and procedures, or to address specific situations, with the intent of avoiding litigation. Advice and counseling in this complex realm includes such areas as Americans with Disabilities Act compliance, sexual harassment and other employment discrimination issues, the Family and Medical Leave Act, hiring and firing, wage and hour laws, contract employees, independent contractor relationships, performance evaluations and employee discipline, to name just a few. When such matters do lead to litigation, or an employer first contacts the firm at that juncture, our attorneys have represented employers in state and federal courts and before administrative agencies such as the Pennsylvania Human Relations Commission, the Equal Employment Opportunity Commission and the Unemployment Compensation Board of Review. We have represented employers in collective bargaining negotiations, labor contract interpretation, and employee grievance matters.
Although primarily representing employers, the firm also represents individual employees on a select basis. These cases have included employment contract matters, terminations of employment and sexual harassment matters.
Bankruptcy and Creditors' Rights
Obtaining payment for services provided or goods delivered can be frustrating and confusing when you or your business are notified of a customer's or client's filing of a petition in bankruptcy. You may even be faced with a claim by the debtor in bankruptcy that you must pay back money received from them for up to 90 days prior to the filing of the bankruptcy. The attorneys at Nauman Smith are experienced in advising clients on the best course of action when faced with these and other related issues in protecting the rights of our clients. We stand ready to analyze the problems presented and to assist you in obtaining the best results possible. Whether it involves the filing of claims for payment, objecting to the confirmation of plans, discharge of debtor or debt issues, or resisting claims of preference payments asserted against you, we will work with you in formulating the best response to meet your goals. Our attorneys routinely represent businesses, financial institutions, financing entities and individuals in Chapter 7, 11 and 13 cases, and in the Bankruptcy Courts of all three districts of Pennsylvania.
Nauman Smith also represents bank and financial institutions in related areas of creditors' rights, such as mortgage foreclosure, replevin and Truth in Lending actions. Throughout central Pennsylvania, we have assisted these organizations in successfully pursuing such claims in state and federal courts.
