Non-Profits and Community Foundations

Nauman Smith has a well-known and distinguished history representing non-profit organizations. Our clients include health care organizations, community foundations, professional societies, business associations, public charities and private foundations, and we provide a full range of legal services for these tax-exempt organizations. We provide guidance in creating new non-profit organizations, including incorporation under state law, drafting of bylaws and qualification for tax-exempt status with the IRS. The Firm also serves as general counsel to many local non-profits, providing advice on employment and executive compensation issues, real estate and transactional matters, tax and unrelated business income issues, corporate governance, fiduciary issues and legal compliance with all applicable state and federal laws. We assist clients in the development of fund-raising activities and planned giving programs, and provide advice regarding charitable solicitations and charitable giving. We work with our clients and their donors to evaluate various planned giving options including charitable remainder trusts and charitable lead trusts, pooled income funds, charitable gift annuities, charitable gifts of life insurance and retirement accounts, and other significant gifts. The Firm's attorneys have also developed particular expertise converting community foundations from trust form to corporate form.
